WHEN TO
USE: This Software Development Agreement is used when the client owns computing
hardware and the consultant or the "developer" wants software created to
specifications. This Software Development Agreement is different than the
Software Modification, Licensing and Marketing Agreement because the end-user
will use the software but not distribute the resulting product. This Software
Development Agreement defines the project timeline and has the developer
providing maintenance support for some period of time. The client is provided
with a non-tranferable, yet perpetual license for the software to run only on
the computing equipment the program is targeted for. The client and the customer
must both understand the specifications for the agreement very well. Poorly
defined specifications or complex specifications may require that progressive
milestones and timelines are constructed to minimize risk of a project scope
that can not be properly completed and agreed to.
The Addendum is intended to complement the Software Development Agreement. It is
used to define additional functionality or capabilities that the customer wants
to add to the original specifications. In addition to defining the additional
functionality to be built, it outlines the payment terms for the work to be
completed. This Addendum refers to the appropriate clauses in the original
agreement for items such as delivery, warranty and licensing.
