Independent Agent Agreement (Non-Exclusive)

WHEN TO USE: This Independent Agent Agreement provides a vehicle for an independent agent (not an employee) to represent the software company's products to the marketplace. In addition to signing new license agreements, the agent is also responsible for the sale of service agreements which will provide maintenance and support for the end-user. This Independent Agent Agreement is between a software company and a licensing agent on non-exclusive basis. In this agreement the software company has the ability to establish the price of the software and retain a percentage of the agent's compensation to make sure the agreement terms are met. There are two options for expenses included in this form: one where the agent carries all costs and an alternative where the software company agrees to some level of expense reimbursement. The agent through this Independent Agent Agreement is responsible for signed license agreements as well as signed support service agreements. The software company on the other hand is primarily responsible for liabilities tied to product flaws and defects.
