Marketing Agreement for Systems Integrators

WHEN TO USE: The Marketing Agreement for Systems Integrators is used when a software company that manages its own marketing and licensing requires an independent consultant or systems integrator to provide business development assistance and installation support. The advantage to the software company is that the Systems Integrator will have the resources to see that the software product is properly installed and supported in the field. This is a common relationship when a young, innovative company has developed a product of broad market appeal, but does not yet have the resources to deliver it on, say, a national basis. The Marketing Agreement for Systems Integrators allows for the software company to keep control of marketing and sales activities as it reserves the right for the complementary marketer to only approach pre-approved accounts. Commissions are paid to the complementary marketer when a license transaction occurs. While the Marketing Agreement for Systems Integrators defines commissions to the marketer, it does not require the software company to steer all end-users to them for installation. The software company does not control the prices or terms of the marketer's services. This Marketing Agreement for Systems Integrators is easily terminated if either party thinks that the other's products are services are, for example: overpriced, being poorly performed, not consistent with the market, etc. The Systems Integrator is obligated to provide marketing assistance by helping with proposals, software demos, and helping in trade shows/seminars. The Marketing Agreement for Systems Integrators allows the marketer to have a license for use in supporting the software company. The marketer is not allowed to modify, sublicense or transfer copies of the software to anyone else. However, the marketer can modify the products for a licensed end-user.
