Consulting Agreements and Teaming Agreements

This Section contains Agreements that are used to define a Consultant's business relationship with the Client. Depending on the nature of the business relationship, there are different Agreements available to be used. The agreements available allow for a one-to-one relationship for a consultant to a client. Consulting Agreement

Overview: The Consulting Agreement is to be used between the consultant and a second legal entity that defines work, scope, terms and fees.

Who Will Use It: Consultant and second party (i.e. public or private company, another consultant, not-for-profit organization)

Key Features: The Consulting Agreement defines the Statement of Work (SOW) to be performed and its sub-tasks with a fee structure for each task in separate agreement exhibits.

Teaming Agreement

Overview: The Teaming Agreement defines the relationship between to contractors who agree to jointly pursue a "Request For Proposal" where one will be the Prime Contractor and the other will be a Sub-Contractor.

Who Will Use It:   Typically used between two companies, or on occasion, between two consultants.

Key Features: The Teaming Agreement defines what work will be accomplished by the Prime Contractor and Sub-Contractor.  Will also define the intended profit for each party.

Joint Venture Agreement

Overview: The Joint Venture Agreement is a form of partnership that is put together for a limited purpose or length of term.

Who Will Use It:   The Joint Venture Agreement is typically used by multiple parties (independent consultants, consulting company, integrators, etc.)

Key Features: The Joint Venture Agreement defines the benefit to each party defined by the agreement.  However, the Joint Venture further assumes that all parties will share the risk and any of its shortcomings.  This agreement defines the activities to be accomplished and a "decision-making" process to resolve unforeseen events should they arise.

Consulting Agreement for Extended Engagements

Overview: This Consulting Agreement is typically used when there is a long-term and open-ended arrangement when the contractor provides either services or software development to a client.

Who Will Use It:   This Consulting Agreement is typically used by independent consultants, consulting company or integrators, who will engage for an extended period of time with a customer.

Key Features: This Consulting Agreement is typically used when there is a series of projects to be accomplished.  Each project is defined in a Work Statement.  This is an excellent agreement where there may be multiple projects being performed in parallel at the same time.
