WHEN TO
USE: This Software Marketing Agreement is the "sister" agreement to the
"Software License Agreement". A marketing company agrees to pay minimum
royalties in exchange for exclusive, yet limited rights to distribute. The
Software License Agreement, on the other hand, is non-exclusive. While the
duration of the Software Marketing Agreement is set for 3 years, besides being
able to edit a different term, there is also a termination clause to the benefit
of the marketing company. This Software Marketing Agreement benefits both
parties because the software company can expect a minimum profit in royalties,
and the marketing company receives exclusive rights and avoids competition.
However, the language of this Software Marketing Agreement says that the
exclusive arrangement is for a specific class of computer. The software company
still has the right to provide a non-exclusive license in developing the program
for other computer systems. Through this Software Marketing Agreement, the
software company also provides technical support to the marketing company, but
most of the maintenance and customer support issues are provided by the
marketing company.
