Consulting Agreement for Extended Engagements

WHEN TO USE: This Consulting Agreement for Extended Engagement reflects an open-ended arrangement where the contractor provides services and software development work on a continuing basis for a client. The details of each project under this agreement are defined in a Work Statement; a sample of which is included. In this Consulting Agreement the client retains the ownership rights for the work product. This agreement is appropriate for performing well defined and narrowly defined projects. This is particularly applicable to situations where the client wants to distribute the resulting solution, of which this effort is part of the product, and not be concerned that the contractor will compete by providing the work product to others. The main reason this consulting agreement is used is for continuous engagements and where there may be several parallel projects going on at the same time. In contrast, the Software Development Agreement and the System Development Agreement are intended for single engagements.
