Mutual Non-Disclosure Agreement

WHEN TO USE: This Mutual Non-Disclosure Agreement provides a mechanism to define a confidential interaction between a company and another party. It is a broad agreement that provides protection to both parties disclosing confidential information. The Mutual Non-Disclosure Agreement allows for the review of technology and for example provides that any loaned assets must be returned after examination. Or if it is for contract review, there is no obligation until execution of the contract. Finally, if the disclosure is for review of a joint opportunity, then each party is responsible for its own expenses and actions of personnel. Information can only be disclosed to other employees for those situations where there is a "need to know". Any disclosure to third parties is prohibited. This Mutual Non-Disclosure Agreement further describes how information will be marked as confidential and thus protects both parties from any ambiguity tied to what is within scope and what is not.
