WHEN TO
USE: The System Development and License Agreement provides for the creation and
integration of a system for a unique client. This agreement assumes that a set
of specifications have been defined. Typically the user of this agreement is
delivering an integrated system, where the acquisition of hardware is included
with the developed solution. This is advantageous for the client who is looking
to consolidate the hardware and software requirements in a single contract. The
agreement also defines an acceptance procedure. Also, the client is provided
with a non-exclusive, nontransferable license to use the software. Similar to
the Systems Integration Services Agreement. This contract is more desirable for
less complex or small office systems comprised of hardware, off-the-shelf
software and limited custom software.
